Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Wirebase Inc. ("Wirebase", "we", "our", or "us") governing your access to and use of the Wirebase AI workspace platform, including any associated websites, applications, APIs, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Wirebase is an AI workspace platform that provides:

  • Multi-AI Access: Integration with multiple AI model providers including OpenAI, Anthropic, Google, xAI, Groq, and others
  • Chat Interface: Conversational interface for interacting with AI models
  • Custom Agents: Ability to create specialized AI assistants with custom prompts and tool configurations
  • Visual Workflows: Drag-and-drop workflow builder for creating automated AI pipelines
  • MCP Integration: Model Context Protocol support for connecting external tools and services
  • Image Generation: AI-powered image creation and editing capabilities
  • Voice Interface: Real-time voice conversations with AI models
  • Code Execution: Sandboxed execution of JavaScript and Python code
  • Team Collaboration: Organization workspaces with shared resources

Features and capabilities may vary based on your subscription plan and may be modified, updated, or discontinued at our discretion.

3. Account Terms

3.1 Account Creation

  • You must be at least 13 years old (or 16 in the EEA) to use the Service
  • You must provide accurate, complete, and current registration information
  • You must maintain the security of your account credentials
  • You are responsible for all activities that occur under your account
  • One person or entity may not maintain more than one free account

3.2 Account Security

You must immediately notify us of any unauthorized access to your account or any other breach of security. Wirebase will not be liable for any loss or damage arising from your failure to protect your credentials.

3.3 Organization Accounts

If you create an organization account, you may invite team members and assign roles. Organization administrators are responsible for managing team access and ensuring all team members comply with these Terms.

4. Subscription and Billing

4.1 Subscription Plans

Wirebase offers various subscription tiers with different features and usage limits:

  • Free Tier: Limited access with usage restrictions
  • Pro Tier: Enhanced features and higher usage limits
  • Team Tier: Collaboration features with team management
  • Enterprise Tier: Custom solutions with dedicated support

4.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or as explicitly stated
  • We may change pricing with 30 days' advance notice
  • Failure to pay may result in suspension or termination of your account

4.3 Usage Limits and Overages

Each plan includes usage limits (API calls, tokens, storage, etc.). If you exceed your plan limits:

  • Service may be throttled or temporarily limited
  • You may be required to upgrade to a higher tier
  • Overage charges may apply as specified in your plan

4.4 Bring Your Own API Keys

You may configure your own API keys for third-party AI providers. When using your own keys, you are responsible for any charges incurred directly with those providers. Wirebase is not responsible for costs or issues related to your third-party API usage.

5. Acceptable Use Policy

Note: Violation of this policy may result in immediate account termination without refund

5.1 Prohibited Content

You may not use the Service to generate, process, store, or distribute:

  • Child sexual abuse material (CSAM) or content sexualizing minors
  • Non-consensual intimate imagery or deepfakes
  • Content promoting terrorism, violence, or hate against protected groups
  • Malware, viruses, or other malicious code
  • Spam, phishing, or fraudulent content
  • Content that infringes intellectual property rights
  • Personally identifiable information of others without consent

5.2 Prohibited Activities

You may not:

  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or extract source code
  • Use automated systems to abuse rate limits or extract data
  • Resell or redistribute access to the Service without authorization
  • Impersonate others or misrepresent your affiliation
  • Use the Service to develop competing AI products or services
  • Circumvent any security measures or access restrictions

5.3 High-Risk Use Cases

The Service is not intended for use in high-risk applications where AI errors could cause harm, including but not limited to: medical diagnosis or treatment, autonomous vehicles, weapons systems, critical infrastructure control, or legal/financial decisions without human oversight. Use in such contexts is at your own risk.

6. AI-Generated Content

6.1 No Warranty of Accuracy

AI-generated content is provided "as is" without any warranty of accuracy, completeness, or fitness for purpose. AI models may:

  • Generate incorrect, outdated, or misleading information ("hallucinations")
  • Produce biased or inappropriate content despite safeguards
  • Fail to execute tasks correctly or completely
  • Behave unpredictably in edge cases

6.2 Your Responsibility

You are solely responsible for:

  • Reviewing and verifying AI-generated content before use
  • Ensuring compliance with applicable laws and regulations
  • Any consequences of using or publishing AI-generated content
  • Decisions made based on AI recommendations

6.3 Content Ownership

Subject to applicable law and third-party AI provider terms, you retain ownership of content you create using the Service, including prompts you write and outputs generated in response. However, similar prompts from other users may produce similar outputs; we make no guarantee of uniqueness.

7. API Keys and Third-Party Services

7.1 Your API Keys

When you provide API keys for third-party services:

  • You are responsible for maintaining the confidentiality of your keys
  • You are bound by the terms of service of those third-party providers
  • You are responsible for all charges incurred through those providers
  • You should monitor usage and set appropriate spending limits

7.2 MCP and Integrations

When connecting MCP servers or third-party integrations:

  • You grant Wirebase permission to access those services on your behalf
  • You are responsible for the permissions and access you grant
  • Third-party services are governed by their own terms and policies
  • Wirebase is not responsible for actions taken by connected services

7.3 Code Execution

When using code execution features, code runs in sandboxed environments with security restrictions. You are responsible for the code you execute and any consequences thereof. Do not execute untrusted code or code designed to circumvent security measures.

8. Intellectual Property

8.1 Wirebase IP

The Service and its original content, features, functionality, and underlying technology are owned by Wirebase Inc. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The Wirebase name, logo, and all related marks are our trademarks.

8.2 Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant Wirebase a non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely for the purpose of providing and improving the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Wirebase the right to use such feedback without restriction or compensation.

9. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Service Availability and SLA

10.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance for security or stability
  • Third-party service outages (AI providers, cloud infrastructure)
  • Circumstances beyond our reasonable control

10.2 Enterprise SLA

Enterprise customers may be entitled to specific service level commitments as defined in their enterprise agreement. Standard plans do not include SLA guarantees.

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by contacting support. Upon termination:

  • Your access to the Service will be immediately revoked
  • Prepaid fees are non-refundable except as required by law
  • You may request export of your data before termination
  • Your data will be deleted according to our data retention policy

11.2 By Wirebase

We may suspend or terminate your access if:

  • You violate these Terms or our policies
  • You fail to pay applicable fees
  • Your use poses a security risk or legal liability
  • We are required to do so by law
  • We discontinue the Service (with reasonable notice)

11.3 Effect of Termination

Upon termination, sections that by their nature should survive will remain in effect, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • COMPATIBILITY WITH YOUR REQUIREMENTS

WIREBASE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT RESULTS WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WIREBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or content
  • Business interruption
  • Reputational harm
  • Costs of substitute services

TOTAL LIABILITY: Our total liability for any claims under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

These limitations apply regardless of the theory of liability and even if Wirebase has been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Wirebase and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you create, submit, or generate using the Service
  • Your use of AI-generated content

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@wirebase.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

15.2 Arbitration Agreement

If informal resolution fails, any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English in Delaware, USA.

15.3 Class Action Waiver

You agree to resolve disputes with Wirebase on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

15.4 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws.

16. General Provisions

16.1 Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by email or prominent notice in the Service at least 30 days before they take effect. Your continued use after changes indicates acceptance.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Wirebase.

16.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

16.4 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

16.5 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to any successor or acquirer.
